Agent Agreement

This is a Legal Agreement between you and TAXA REAL ESTATE REFERRAL NETWORK (“TAXA”, “we”, “us”, or “our”). You hereby agree to the following:

About Us

  • We are a Connecticut based real estate license holding and referral company.
  • TAXA is a limited function referral office.
  • TAXA is a Connecticut non-Realtor®, non-MLS company set up for the sole purpose of holding Connecticut real estate salesperson licenses and processing their referrals to other Realtors® nation-wide.
  • Typically, our members are fully licensed Connecticut Real Estate Salespersons that decided on a new approach to the business. They have relocated to another state from Connecticut or have decided that actively listing and selling is not for them at this time.
  • TAXA provides a low-cost alternative to properly sustaining an active Connecticut Real Estate Salesperson license and continue to earn an income with minimum time commitment and at a tremendous annual cost savings.

What you won’t do as a member of TAXA

  • NO providing professional advice to buyers or sellers
  • NO making appointments
  • NO showing property
  • NO providing pricing suggestions
  • NO negotiating strategy recommendations
  • NO interference with any other licensed real estate professional
  • NO attending inspections

The ONLY thing you can do as a TAXA member is REFER!

Requirements for Participation in TAXA

  1. You are of legal age and capable of forming a legally binding contract.
  2. All information you provide to TAXA is accurate. Should it change in the future, you will update us.
  3. You have and will maintain a valid Connecticut Real Estate Salesperson License, are qualified to practice real estate, and will follow all applicable real estate laws.
  4. You agree to transfer your Salesperson license to TAXA.
  5. You will update TAXA immediately regarding any changes to the status of your real estate license.
  6. You acknowledge that as a member of TAXA, you are only able to submit referrals and are subject to this agreement.
  7. You must be a current member in good standing of TAXA.
  8. You will obey all Connecticut laws.
  9. You agree to pay a non-refundable, non-prorated fee of two hundred and forty-nine dollars ($249) annually or one hundred and forty-nine dollars ($149) biannually. Renewal fees are due the first day of you month due.

Payment of Referral Fee from CONNECTICUT REFERRALS

  1. If you refer a client to TAXA, TAXA agrees to pay you a referral fee of 70% of the gross commission received by TAXA involving a referral that you submitted to TAXA unless otherwise specified, documented and agreed upon by both parties.
  2. The referral fee described above will be due to you upon the gross commission received by TAXA involving a referral you submitted to TAXA.
  3. TAXA will retain a referral fee of 30% of the gross commission received by TAXA involving a referral you submitted to TAXA unless otherwise specified, documented and agreed upon by both parties.
  4. In the event that TAXA is for any reason unable to collect a referral fee based on the commission generated from a real estate transaction involving a referral that you submitted to TAXA, you agree to waive your portion of the referral fee described above. TAXA is only responsible for payments on referral fees received.             
  5. TAXA can only pay you a referral fee if you are a member in good standing and your Salesperson license is being held by TAXA.

Advertising and Marketing

TAXA may advertise publicly, and you agree that the broker may include your name, photograph and/or history of referral activity or performance in such advertisements when deemed appropriate by TAXA to do so. Any public advertising or marketing placed or performed by you shall conform to the requirements of any Federal or State law regulating such advertising or marketing, as well as to company policy.

Confidentiality

You understand that you may have access to information related to TAXA which is not generally known to the public, including, without limitation, office files, client, customer, prospect leads and investor lists, and commission rates. You shall keep such information strictly confidential and shall not disclose such information to any person, firm or corporation not affiliated with the Broker.

This obligation shall continue after the termination of this Agreement.

Litigation

Any litigation to collect a commission shall be brought in the name of the TAXA, and you agree that TAXA shall have the right and authority to pursue and settle such litigation upon terms and conditions deemed expedient or desirable by TAXA. You shall be a sub-agent of the Broker for the purpose of any litigation to collect a commission and for no other purpose. In any dispute or litigation involving both the TAXA and yourself (including litigation to collect a commission), TAXA shall have the right to determine whether the same counsel can represent both you and the TAXA and to select counsel to represent both, subject to the your written agreement to such representation. In any event, you agree to cooperate fully with the TAXA and the TAXA’s counsel. TAXA reserves the right to determine whether and on what terms any litigation or dispute shall be prosecuted, defended, compromised or settled and whether legal expense shall be incurred.

You shall share all expenses arising out of any litigation or dispute (including, without limitation, costs, attorney’s fees and insurance policy deductibles)  in the same proportion as provided for in the division of any commissions, provided, however, if TAXA shall pay such expenses, TAXA may deduct the your share from future commissions due to you, if any, or if none shall be due, you shall pay your proportionate share of such expenses with thirty (30) days after written demand by the TAXA.

Indemnity

Notwithstanding any other provision of this Agreement, you agree to indemnify and hold TAXA harmless for all costs, fines, fees, expenses, assessments, and penalties (including, without limitation, costs and attorney’s fees) incurred by TAXA because of your negligent or intentional acts or otherwise, misrepresentation, non-disclosure, or promise or untrue statement made by you during the course of any referral handled by you under this Agreement. The Broker may deduct any money due TAXA from any compensation that may be due to you under this Agreement. The Salesperson shall pay the broker all money due to TAXA with thirty (30) days after written demand by TAXA.

Your obligations set forth shall continue after the termination of this agreement.

Termination

Your failure to maintain your Connecticut real estate license in effect shall automatically terminate this Agreement. Otherwise, either party may terminate this Agreement at any time by notifying the other party of such termination. Upon the termination of this Agreement, you shall turn over to TAXA any and all materials, information and records obtained during the term of your affiliation with TAXA and pertaining to the business of TAXA, including, without limitation. After the termination of this Agreement, you shall not use any such materials, record or information or the name of the Broker for your own or another’s benefit.

Within 10 days after terminated, you are to return to TAXA all files (originals and copies) for active and pending transactions/clients.

Non-Assignability

This agreement is personal to you and may not be assigned by the you to anyone else.

Miscellaneous

This agreement shall be interpreted and governed by the laws of the State of Connecticut. This agreement may be modified only by a written agreement signed by all parties. Should any one or more of the provisions hereunder be determined to be illegal or unenforceable, the remaining terms and condition shall remain in full effect.
